The Vala EIS provides the opportunity to co-invest alongside Vala in a diverse portfolio of 6-10 companies with high growth potential and which are often already revenue-generating. The investment team at Vala has vast experience in the sectors represented by the Vala EIS Portfolio and they hand-pick the companies in which Vala and investors participate alongside each other. The companies are sourced from the investment team’s network that has been established over 30 years and Vala usually takes a Board seat to provide their expertise and experience in a mentoring role, with a drive toward realising successful and profitable exits.

Vala as a group (est. 2018) has raised and deployed c.£5m into Vala EIS across two closings within 12 months. The most recent of these closed in April 2019 for which some EIS3’s have already been returned to investors and the remainder are expected over the coming months and before the end of the calendar year.
Funds committed by investors are fully deployed at each closing date, which typically takes place on a quarterly basis. Since investee companies are generally already trading this means EIS3s for investors often come through quickly.
Vala commits its own capital alongside investors into the same underlying businesses and on the same terms.
Vala charges no fees to the investor. Instead a one-off initial fee of 6% is charged to the investee companies and that is all, for the life of the investment, until exit. There are no annual management fees, no arrangement fees, no monitoring fees, no hidden fees. If a threshold return is achieved for investors on exit, then Vala will earn a performance fee; this reinforces Vala’s focus on achieving growth potential and not on managing businesses.

An investor qualifies as an High Net Worth investor if they have
(a) An annual income to the value of £100,000 or more;
(b) Net assets to the value of £250,000 or more. Net assets for these purposes do not include:
(i) the property which is their primary residence or any loan secured on that residence;
(ii) any rights under a qualifying contract of insurance within the meaning of the Financial
Services and Markets Act 2000 (Regulated Activities) Order 2001; or
(iii) any benefits (in the form of pensions or otherwise) which are payable on the termination of their service or death or retirement and to which they are or (or their dependants are), or may be, entitled.
An investor qualifies as ar Self-Certified Sophisticated Investor if at least one of the following applies:
a) they are a member of a network or syndicate of business angels and have been so for at least the last six months prior to the date below
b) they have made more than one investment in an unlisted company in the two years prior to the date below
c) they are working, or have worked in the two years prior to the date below, in a professional capacity in the private equity sector, or in the provision of finance for small and medium sized enterprises
d) they are currently, or have been in the two years prior to the date, below a director of a company with an annual turnover of at least £1 million
